1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and FuelMaze Inc. ("Company," "we," "our," or "us"), a corporation incorporated under the laws of Ontario, Canada.

By accessing or using the FuelMaze platform ("Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

FuelMaze is a software-as-a-service platform that provides fuel pricing management, cost calculation, and supplier data processing tools for businesses in the fuel industry.

3. Account Registration

To use the Service, you must:

• Provide accurate and complete registration information;
• Maintain the security of your account credentials;
• Notify us immediately of any unauthorized access;
• Be at least 18 years of age or the age of majority in your jurisdiction.

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations;
• Infringe on intellectual property rights of any party;
• Attempt to gain unauthorized access to any systems or data;
• Interfere with or disrupt the operation of the Service;
• Use the Service for any unlawful purpose;
• Share account credentials with unauthorized parties.

5. Your Data

You retain ownership of all data you upload to the Service ("Your Data"). We do not claim any ownership rights to Your Data.

By using the Service, you grant us a limited, non-exclusive license to process Your Data solely to provide the Service to you. You are responsible for ensuring you have the right to upload and process any data you provide.

6. Confidentiality

We treat Your Data as confidential. We will not disclose Your Data to third parties except as necessary to provide the Service, as required by law, or with your consent.

7. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by FuelMaze Inc. and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription term.

8. Payment Terms

You agree to pay all fees associated with your subscription as specified in your order. Fees are due as stated in your agreement. Late payments may result in suspension of access to the Service.

9. Disclaimer of Warranties

Fuel pricing calculations are provided for informational purposes only. You are responsible for verifying all pricing data before use in commercial transactions.

You agree to indemnify, defend, and hold harmless FuelMaze Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

12. Term and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access for violation of these Terms or for any other reason with reasonable notice.

Upon termination, your right to use the Service ceases immediately. Your Data will be retained for 30 days, after which it will be permanently deleted.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of such courts.

14. Dispute Resolution

Before initiating any formal legal proceedings, you agree to attempt to resolve disputes informally by contacting us at support@fuelmaze.com. If we cannot resolve the dispute within 30 days, either party may proceed with formal proceedings.

15. Force Majeure

Neither party shall be liable for any delay or failure in performance resulting from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

17. Entire Agreement

These Terms, together with our Privacy Policy and any order forms or agreements, constitute the entire agreement between you and FuelMaze Inc. regarding the Service and supersede all prior agreements and understandings.
